By accessing, registering for, or using the Arthix platform in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you (the user, whether an individual or an entity) and Arthix Technologies, the operator of the Arthix platform.
If you are using Arthix on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these terms. If you do not have such authority, or if you do not agree with any part of these terms, you must not access or use the Arthix platform. Your continued use of the service after any modifications to these terms constitutes acceptance of those changes.
Arthix is a Software-as-a-Service (SaaS) platform that provides businesses with a comprehensive suite of tools for managing their WhatsApp Business API communications. The platform includes features such as a shared team inbox for real-time customer conversations, a visual workflow builder for creating automated messaging sequences, a template builder for designing Meta-approved message templates, contact management and segmentation tools, campaign broadcasting capabilities, real-time analytics and reporting dashboards, and team management with role-based access controls.
Arthix operates as an intermediary layer between your business and Meta's WhatsApp Cloud API. We do not own, operate, or control the WhatsApp messaging infrastructure itself. The availability, features, and policies of the WhatsApp Business API are governed by Meta Platforms, Inc. and may change without notice from Arthix. We make reasonable efforts to adapt our platform to any such changes promptly, but cannot guarantee uninterrupted compatibility at all times.
We reserve the right to modify, update, or discontinue any features of the platform at our discretion. We will make reasonable efforts to notify users of significant changes in advance. New features or tools released on the platform shall also be subject to these Terms and Conditions.
To access the Arthix platform, you must create an account by providing accurate, current, and complete registration information, including a valid business email address, your company name, and other required details. You agree to keep your registration information up to date at all times. Providing false, misleading, or outdated information may result in the suspension or termination of your account.
You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any API keys or access tokens associated with your account. You agree to notify Arthix immediately of any unauthorized access to or use of your account. Arthix shall not be liable for any loss or damage arising from your failure to secure your account credentials. We strongly recommend enabling two-factor authentication and using unique, complex passwords for your Arthix account.
Each account is intended for use by a single organization. You may invite multiple team members under your organization's account with appropriate roles and permissions. Account sharing between different organizations or businesses is not permitted and may result in account suspension.
By using Arthix to send messages through the WhatsApp Business API, you agree to comply fully with Meta's WhatsApp Business Messaging Policy, Commerce Policy, and all other applicable Meta platform policies. You are independently responsible for ensuring that all messages sent through your account comply with these policies, including but not limited to obtaining proper opt-in consent from recipients before sending them messages, using approved message templates for business-initiated conversations, and respecting the 24-hour customer service window for session messages.
You acknowledge that Meta has the authority to review, restrict, or disable your WhatsApp Business API access at any time if your messaging activity violates their policies. This includes lowering your quality rating, reducing your messaging tier, rejecting message templates, or permanently banning your phone number. Arthix is not responsible for any actions taken by Meta against your WhatsApp Business Account, and such actions do not entitle you to a refund of your Arthix subscription fees.
You agree to use the Arthix platform only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations. You may not use the platform to send unsolicited bulk messages or spam, distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable, engage in phishing, fraud, or any deceptive practices, impersonate another person or entity, transmit malware, viruses, or any code of a destructive nature, or interfere with or disrupt the integrity or performance of the platform or its underlying infrastructure.
Arthix reserves the right to investigate any suspected violations of this Acceptable Use Policy and to take appropriate action, including but not limited to issuing warnings, temporarily suspending your account, permanently terminating your account without refund, and reporting illegal activities to the relevant law enforcement authorities. We may also remove or disable access to any content that we determine, in our sole discretion, violates these terms or is otherwise harmful to the platform, our users, or third parties.
Arthix offers several subscription plans with varying feature sets and usage limits, as detailed on our pricing page. By selecting a plan and providing payment information, you authorize Arthix to charge your chosen payment method for the applicable subscription fees on a recurring basis (monthly or annually, depending on your selected billing cycle). Subscription fees are charged in advance and are non-refundable except as expressly stated in these terms or as required by applicable law.
In addition to Arthix subscription fees, you are responsible for all WhatsApp conversation charges imposed by Meta. These charges are based on the number and category of conversations you initiate and are billed separately according to Meta's pricing structure. Arthix does not add any markup to Meta's conversation charges. You acknowledge that Meta's pricing may change from time to time and that Arthix has no control over these charges.
We reserve the right to change our subscription pricing with at least 30 days' advance notice. Price changes will take effect at the beginning of your next billing cycle following the notice period. If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect. Failure to pay any fees when due may result in the suspension or termination of your account and access to the platform.
The Arthix platform, including its source code, design, user interface, logos, trademarks, documentation, APIs, and all related intellectual property, is owned by Arthix Technologies and is protected by applicable copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your internal business purposes in accordance with these terms.
You retain full ownership of all content, data, contact lists, message templates, and other materials that you create, upload, or transmit through the Arthix platform. By using our services, you grant Arthix a limited license to process, store, and display your content solely for the purpose of providing the platform's functionality to you. We will not use your content for any other purpose without your explicit consent.
You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works based on the Arthix platform or any part thereof without our prior written consent. Any unauthorized use of our intellectual property may result in the termination of your account and may expose you to civil and criminal liability.
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms and Conditions by reference. By using the Arthix platform, you consent to the data practices described in our Privacy Policy. We encourage you to review the Privacy Policy carefully to understand how we handle your data.
As a user of the Arthix platform, you act as the Data Controller for the personal data of your WhatsApp contacts and customers. You are responsible for ensuring that your collection and use of customer data through the platform complies with all applicable data protection laws, including the General Data Protection Regulation (GDPR), the Digital Personal Data Protection Act of India, and any other relevant legislation in your jurisdiction. Arthix acts as a Data Processor on your behalf and processes customer data solely in accordance with your instructions and the functionality of the platform.
Arthix commits to maintaining 99.9% uptime for the platform, measured on a monthly basis. This uptime commitment excludes scheduled maintenance windows (for which we provide at least 24 hours' advance notice), force majeure events, and downtime caused by third-party services including Meta's WhatsApp Cloud API infrastructure, internet service providers, or DNS providers that are outside of our reasonable control.
In the event that we fail to meet our uptime commitment in any given calendar month, affected customers on paid plans may be eligible for service credits. The credit amount is calculated as a percentage of the monthly subscription fee proportional to the excess downtime experienced. To claim a service credit, you must submit a written request within 30 days of the end of the affected month. Service credits are applied to future invoices and are not redeemable for cash.
To the maximum extent permitted by applicable law, Arthix Technologies, its directors, employees, partners, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Arthix platform, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Arthix has been advised of the possibility of such damages.
In no event shall Arthix's total aggregate liability to you for all claims arising out of or relating to these terms or the use of the platform exceed the total amount of fees paid by you to Arthix during the twelve (12) months immediately preceding the event giving rise to the claim. This limitation applies regardless of whether the liability arises from breach of contract, tort, strict liability, or any other legal theory.
Arthix is not liable for any actions taken by Meta against your WhatsApp Business Account, including but not limited to account restrictions, template rejections, quality rating changes, messaging tier downgrades, or account bans. You acknowledge that the WhatsApp Business API is provided by Meta and that Arthix has no control over Meta's enforcement decisions.
You agree to indemnify, defend, and hold harmless Arthix Technologies, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Arthix platform, your violation of these Terms and Conditions, your violation of any applicable law or the rights of any third party, or the content of messages you send through the platform.
This indemnification obligation shall survive the termination of your account and these Terms and Conditions. Arthix reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate fully with Arthix in asserting any available defenses.
You may terminate your Arthix account at any time by contacting our support team or using the account cancellation feature in your account settings. Upon cancellation, your access to the platform will continue until the end of your current billing period, after which your account will be deactivated. You will not receive a refund for any unused portion of your current billing period unless you are within the 14-day money-back guarantee window for new subscriptions.
Arthix reserves the right to suspend or terminate your account immediately and without prior notice if you breach any provision of these Terms and Conditions, engage in activities that violate Meta's WhatsApp Business policies, fail to pay subscription fees when due, or if we reasonably believe that your use of the platform poses a risk to the security, integrity, or reputation of the platform or other users. In the event of termination for cause, you are not entitled to any refund of prepaid fees.
Upon termination of your account for any reason, your right to use the platform ceases immediately. Your data will be retained for 90 days following termination, during which time you may request an export of your data. After this 90-day period, all data associated with your account will be permanently deleted from our systems in accordance with our Privacy Policy.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions or the use of the Arthix platform, the parties agree to first attempt to resolve the matter through good-faith informal negotiation. Either party may initiate informal dispute resolution by sending a written notice to the other party describing the nature of the dispute and the relief sought. The parties shall attempt to resolve the dispute within 30 days of receiving such notice.
If the dispute cannot be resolved through informal negotiation within 30 days, either party may submit the dispute to binding arbitration administered under the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, and the seat of arbitration shall be Surat, Gujarat, India. The language of arbitration shall be English. The arbitrator's decision shall be final and binding on both parties and may be enforced in any court of competent jurisdiction.
These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding that cannot be resolved through arbitration as described in Section 13 shall be brought exclusively in the courts located in Surat, Gujarat, India, and you consent to the personal jurisdiction of such courts.
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such finding shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
Arthix reserves the right to modify or update these Terms and Conditions at any time. When we make material changes, we will update the "Last updated" date at the top of this page and provide notice through email or an in-app notification at least 15 days before the changes take effect. For non-material changes, we may update these terms without advance notice.
Your continued use of the Arthix platform after the effective date of any changes constitutes your acceptance of the revised terms. If you do not agree with the updated terms, you must stop using the platform and cancel your subscription before the changes take effect. We encourage you to review these Terms and Conditions periodically to stay informed of any updates.
